Last Updated: October 16, 2026

These Website Terms of Use ("Terms") govern access to and use of tacilent.ai and the public website features that link to these Terms (the "Website"). The Website is operated by Tacilent, Inc. ("Tacilent," "we," "us," or "our"), headquartered in Atlanta, Georgia.

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

Website Scope

The Website provides public information about Tacilent, Decision AI, forecasting, analytical methods, services, case studies, and related materials. These Terms govern the public Website only. Tacilent products, client deliverables, subscriptions, assessments, professional services, and other paid engagements are governed by the applicable master services agreement, order form, data processing agreement, or other signed contract. If those agreements conflict with these Terms, the signed agreement controls for the covered services.

Eligibility and Authority

You must be legally capable of agreeing to these Terms. If you use the Website for an organization, you represent that you have authority to act for that organization and that both you and the organization will comply with these Terms.

Decision Support, Not Professional Advice

Website content is provided for general informational and business-evaluation purposes. Tacilent provides analytical decision support. Website content is not legal, investment, accounting, audit, insurance, underwriting, medical, regulatory, emergency-response, or other professional advice.

Forecasts, AIQ scores, simulations, quantified exposure ranges, scenarios, recommendations, and other analytical examples reflect assumptions, available information, and analytical judgment. They are not guarantees, certifications, valuations, promises of performance, or statements that an event will or will not occur. Qualified leaders and professional advisors should validate information before making decisions.

Permitted Use

Tacilent grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for lawful internal business evaluation and informational purposes, subject to these Terms.

Prohibited Use

You may not:

  • Use the Website unlawfully, fraudulently, or in a manner that infringes the rights of another person.
  • Interfere with, disrupt, probe, scan, test, bypass, or compromise the Website or its security, availability, or access controls.
  • Copy, reproduce, republish, sell, sublicense, modify, or create derivative works from Website content except as expressly permitted in writing.
  • Use automated tools to scrape, harvest, extract, or build a dataset from the Website, except ordinary indexing by public search engines in accordance with Tacilent's technical instructions.

  • Misrepresent Tacilent content, remove notices, imply Tacilent endorsement, or use Tacilent's name or marks without authorization.
  • Submit malicious code, unlawful material, confidential information you are not authorized to share, or personal information about another person without a lawful basis.

Intellectual Property

The Website and its content, including text, designs, graphics, videos, software, methods, reports, visualizations, trademarks, service marks, and the selection and arrangement of those materials, are owned by Tacilent or its licensors and are protected by intellectual property laws. Tacilent, Tacilent Intelligence, Decision AI, AIQ, product names, logos, and related branding may be trademarks or service marks of Tacilent. No license is granted except the limited right to use the Website stated in these Terms.

Third-party names, logos, and marks remain the property of their respective owners. Their appearance does not imply sponsorship or endorsement unless expressly stated.

Information You Submit

You represent that information submitted through the Website is accurate, lawful, and provided with proper authority. Public forms are not approved channels for confidential, classified, regulated, export-controlled, or sensitive personal information. Submitting a Decision Brief request does not create a client, fiduciary, advisory, or confidential relationship. A confidential relationship exists only when established by an applicable written agreement.

You grant Tacilent permission to use information you submit as reasonably necessary to respond to the request, operate the Website, prevent misuse, and pursue the potential business relationship, subject to our Privacy Policy and any applicable written agreement.

Feedback

If you voluntarily provide suggestions or feedback about the Website or Tacilent's offerings, you grant Tacilent a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation. This section does not transfer ownership of your confidential information or personal information.

Privacy

Tacilent's Privacy Policy explains how we collect, use, disclose, and protect personal information through the Website. By submitting information, you acknowledge that it will be handled as described in that Policy.

Third-Party Services and Links

The Website may link to or integrate with third-party websites and services. Tacilent does not control and is not responsible for their content, availability, security, or practices. Your use of a third-party service is governed by that provider's terms and policies.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TACILENT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND SECURITY. TACILENT DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACILENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACILENT'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Tacilent and its officers, directors, employees, contractors, and affiliates from claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising from your unlawful use of the Website, your violation of these Terms, or information you submit without proper authority.

Suspension and Termination

Tacilent may restrict or terminate access to the Website when reasonably necessary to protect the Website, Tacilent, other users, or the public, or when you violate these Terms. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limitations, indemnification, and governing law.

Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Subject to any mandatory law that applies, disputes arising from the Website or these Terms will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to their jurisdiction and venue.

Changes to These Terms

Tacilent may update these Terms from time to time. The revised Terms will be posted with an updated date. Changes apply prospectively when posted unless a later date is stated. Continued use of the Website after the effective date means you accept the revised Terms.

General Terms

These Terms are the entire agreement between you and Tacilent concerning the public Website, except for any separate agreement that applies. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. A waiver must be in writing and does not waive any later breach. You may not assign these Terms without Tacilent's written consent. Tacilent may assign them in connection with a reorganization, transaction, or by operation of law.
